TERMS & CONDITIONS – ONLINE COACHING

These Terms & Conditions apply to all online coaching services provided by Smartshape (“Coach”, “we”, “us” or “our”).

By purchasing, registering for, or participating in the Online Coaching Program, the Client confirms that they have read, understood and agreed to these Terms & Conditions.

1. THE ONLINE COACHING SERVICE

The Smartshape Online Coaching Program is designed to help Clients improve their movement, strength, physical resilience, training performance and overall health and fitness.

Online coaching may include, depending on the Client’s needs:

  • An online intake questionnaire

  • Movement and/or physical assessments

  • An individually designed training program

  • Exercise demonstrations and instructions

  • Program adjustments based on progress and feedback

  • Weekly or periodic check-ins

  • Progress monitoring

  • Lifestyle and recovery guidance

  • Nutrition guidance where applicable

  • Communication and coaching through the designated coaching platform or agreed communication channels

The exact content of the program may vary depending on the Client’s goals, needs, physical capabilities and progress.

2. CLIENT RESPONSIBILITY

The Client is responsible for providing complete and accurate information regarding their training history, injuries, physical limitations, current symptoms, lifestyle and any other information relevant to their participation in the coaching program.

The Client agrees to:

  • Follow exercise instructions carefully

  • Use appropriate equipment and a safe training environment

  • Complete assessments and exercises to the best of their ability

  • Communicate relevant pain, discomfort, injuries or changes in physical condition

  • Provide regular and honest feedback

  • Complete agreed check-ins where required

  • Inform the Coach of circumstances that may affect their ability to train safely

  • Take responsibility for deciding whether they are physically capable of performing an exercise or training session

The quality and effectiveness of the coaching depend partly on the accuracy of the information provided and the Client’s consistency in following the program and providing feedback.

3. MOVEMENT ASSESSMENT

Movement assessments are used to help the Coach understand the Client’s current movement capabilities, restrictions and physical starting point and to assist in designing an appropriate training program.

Online movement assessments have limitations because the Coach is not physically present and cannot perform a hands-on physical examination.

A movement assessment is not a medical examination or medical diagnosis and should not be considered a replacement for assessment or treatment by a doctor, physiotherapist or other appropriately qualified healthcare professional.

4. PAIN, INJURY AND MEDICAL CONDITIONS

The Online Coaching Program is intended for fitness, movement, strength, performance and general health purposes and does not constitute medical treatment.

The Client should seek appropriate medical advice before starting or continuing the program if they:

  • Have a known medical condition

  • Have suffered a recent injury

  • Experience unexplained, severe or persistent pain

  • Have been advised by a healthcare professional to restrict physical activity

  • Are uncertain whether exercise is appropriate for them

If the Client experiences significant or unusual pain, dizziness, shortness of breath, loss of coordination or other concerning symptoms during exercise, they should stop the activity and seek appropriate medical advice.

Where appropriate, the Coach may recommend that the Client consult a qualified healthcare professional before continuing or modifying the program.

The Coach does not diagnose medical conditions or injuries through the Online Coaching Program.

5. TRAINING PROGRAMS

Training programs are created based on the information available to the Coach at the time.

Programs may be modified based on factors including:

  • Client feedback

  • Training performance

  • Pain or discomfort

  • Movement quality

  • Recovery

  • Lifestyle factors

  • Progress

  • Training experience

  • Available training equipment

The Client understands that training programs may need to change during the coaching process.

The Client should not continue an exercise that causes significant or unusual pain without informing the Coach.

6. RESULTS

The Coach will provide professional guidance, programming and support but cannot guarantee specific results.

Results depend on many factors outside the Coach’s direct control, including training consistency, nutrition, sleep, stress, recovery, lifestyle, program adherence, genetics, previous injuries or physical limitations and the accuracy of information provided by the Client.

The Client remains responsible for implementing the recommendations and completing the agreed training and coaching activities.

7. NUTRITION AND LIFESTYLE GUIDANCE

Where nutrition and lifestyle guidance is included, it is intended to support general health, training performance, recovery and/or body composition goals.

Unless explicitly stated otherwise, nutrition guidance does not constitute medical nutrition therapy, diagnosis or treatment of a medical condition.

Clients with medical conditions, diagnosed eating disorders, food allergies or other circumstances requiring specialised nutritional care should consult an appropriately qualified healthcare professional.

8. COMMUNICATION AND CHECK-INS

The Client is expected to complete agreed check-ins and provide relevant feedback throughout the coaching period.

Regular communication allows the Coach to assess progress, monitor the Client’s response to training and make appropriate changes to the program.

If check-ins, assessments or feedback are repeatedly missed, the Coach may have insufficient information to make appropriate program adjustments.

The Client understands that online coaching does not include 24/7 availability or immediate responses.

Communication should take place through the designated coaching platform or other communication channel agreed between the Coach and Client.

9. PAYMENT AND MINIMUM COMMITMENT

The Online Coaching Program has a minimum initial commitment of 12 weeks.

The fee for the initial 12-week coaching period is €750.

Payment is processed securely through Stripe using the payment method provided by the Client at checkout.

After completion of the initial 12-week period, the coaching service will automatically continue on a monthly basis at €250 per month, unless cancelled in accordance with Section 10 below. 

By purchasing the Online Coaching Program, the Client authorises recurring payments of €250 per month to be collected through the payment method provided at checkout following completion of the initial 12-week period.

Recurring payments will continue until the Client cancels the coaching service.

If a payment cannot be processed, the Coach may temporarily suspend access to coaching services, training programs and/or the coaching platform until payment has been successfully completed.

Any applicable taxes will be handled and displayed as required at the time of purchase.

10. CANCELLATION AND TERMINATION

The Online Coaching Program has a minimum commitment period of 12 weeks.

The initial 12-week coaching period cannot normally be cancelled early simply because the Client no longer wishes to participate, subject to any mandatory cancellation, withdrawal or refund rights under applicable Dutch or European Union consumer law.

After completion of the initial 12-week period, the coaching service automatically continues on a monthly basis at €250 per month.

From that point onwards, the Client may cancel the coaching service on a monthly basis.

Cancellation must be communicated to Smartshape before the next scheduled monthly payment is collected.

If cancellation is received before the next scheduled payment date:

  • No further monthly payment will be collected

  • The Client will continue to have access to the coaching service until the end of the period already paid for

  • The coaching service will then end

If the next monthly payment has already been collected before the Client cancels, the cancellation will apply to the following billing period. The Client will continue to receive coaching for the period that has already been paid for.

Payments already made for a coaching period that has commenced are generally non-refundable, except where a refund is required under applicable law.

The Coach may terminate or suspend the coaching relationship in cases of non-payment, serious or repeated inappropriate behaviour, misuse of the coaching service, failure to provide information necessary to coach safely, or circumstances where continuing the coaching relationship would be unreasonable or unsafe.

Nothing in these Terms affects any mandatory consumer rights available to the Client under Dutch or European Union law.

11. ASSUMPTION OF RISK

Physical exercise involves inherent risks.

These risks may include muscle soreness, strains, sprains, falls, aggravation of existing symptoms and other exercise-related injuries.

The Client understands that these risks cannot be completely eliminated, even when an exercise program has been designed carefully.

The Client is responsible for exercising within their capabilities, following instructions and communicating relevant physical problems, symptoms or changes in their condition.

The Client should stop an exercise or training session if they believe it is unsafe to continue.

Nothing in these Terms excludes or limits liability where such exclusion or limitation would not be permitted under applicable law.

12. TRAINING ENVIRONMENT AND EQUIPMENT

Because online coaching is performed remotely, the Coach cannot continuously inspect the Client’s training environment, exercise technique or equipment.

The Client is responsible for ensuring that:

  • The training area is safe

  • Equipment is appropriate and in good working condition

  • Exercises are performed with sufficient space

  • Appropriate safety measures are used

  • Loads and equipment are appropriate for their current capabilities

    When training in a gym or other facility, the Client must also follow the rules and safety instructions of that facility.

13. INTELLECTUAL PROPERTY

Training programs, assessments, educational materials, videos, documents and other coaching materials provided by Smartshape are intended for the Client’s personal use only.

Unless permission has been provided in writing, these materials may not be:

  • Resold

  • Republished

  • Distributed

  • Shared publicly

  • Copied for commercial purposes

  • Provided to third parties for their use

  • Used to coach or train other people commercially

All applicable intellectual property rights remain with Smartshape or the respective rights holder.

14. ONLINE COACHING PLATFORM

The coaching service may use third-party software or platforms, including 1Fit, for delivery of training programs, assessments, check-ins, communication and progress tracking.

Availability and functionality of third-party services are outside Smartshape’s direct control.

Temporary technical problems or interruptions with a third-party platform do not automatically constitute failure by Smartshape to provide the coaching service, provided reasonable alternatives are offered where necessary.

15. PERSONAL DATA AND PRIVACY

Smartshape processes personal information in connection with the provision and administration of the coaching service.

This may include information relating to training, physical condition, movement, injuries or limitations, lifestyle, nutrition, progress, assessments, photos and videos.

Further information regarding the collection and processing of personal data can be found in the Smartshape Privacy Policy available on the Smartshape website.

16. PHOTOS, VIDEOS AND MARKETING

Photos and videos submitted by the Client for movement assessment, technique analysis or progress monitoring are used for coaching purposes.

Accepting these Terms & Conditions does not automatically give Smartshape permission to publicly use identifiable Client photos, videos, testimonials or results for marketing purposes.

Where Smartshape wishes to use identifiable Client content for social media, website or other marketing purposes, separate consent will be requested.

Declining marketing consent will not affect the Client’s ability to participate in the Online Coaching Program.

17. CHANGES TO THE SERVICE

Smartshape may make reasonable changes to the structure, software, exercises, assessments or delivery method of the coaching service where necessary to improve or continue the service.

Such changes will not materially reduce a Client’s already purchased coaching service without reasonable justification.

18. GOVERNING LAW

These Terms & Conditions are governed by Dutch law.

Any mandatory consumer protections applicable under Dutch law or European Union law remain unaffected.

19. ACCEPTANCE OF TERMS

By registering for and purchasing the Online Coaching Program, the Client acknowledges that they:

  • Have read and understood these Terms & Conditions

  • Have had the opportunity to ask questions

  • Understand the nature and limitations of online coaching

  • Understand that online coaching is not a substitute for medical diagnosis or treatment

  • Agree to provide accurate and relevant information

  • Understand that physical exercise involves inherent risks

  • Understand that the initial commitment is 12 weeks at €750

  • Understand that after the initial 12 weeks coaching automatically continues at €250 per month

  • Understand that after the initial 12 weeks coaching can be cancelled monthly by cancelling before the next scheduled payment

  • Agree to these Terms & Conditions
